Terms of Service

These Terms of Service (the “Terms”) are a binding legal agreement between you and TextDictator (“TextDictator,” “we,” “us,” or “our”), governing your access to and use of the TextDictator macOS application, the website at textdictator.com, and any related services, software, or features that link to these Terms (collectively, the “Service”). By creating an account, starting your free trial, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

TextDictator is a macOS menu-bar application that converts text you copy to your system clipboard into spoken audio using third- party text-to-speech (“TTS”) models, currently the OpenAI and Deepgram TTS APIs. The app runs locally on your Mac. When you invoke playback, the app sends the clipboard text to our hosted backend, which proxies the request to the TTS provider and streams the resulting audio back to your Mac for playback.

2. Eligibility

You must be at least 13 years old, or the minimum age of digital consent in your jurisdiction (whichever is higher), to use the Service. By using the Service you represent that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

3. Account Registration

Use of the Service requires you to create an account. We use a third-party authentication provider (Neon Auth, powered by Stack Auth) for sign-up and sign-in. You agree to provide accurate information, to keep your sign-in method secure, and to notify us promptly of any unauthorized access to your account. You are responsible for activity that occurs under your account.

4. Free Trial

New paid subscriptions begin with a three-day free trial. To start a trial, you must create an account and provide a valid payment method through Stripe, our payment processor. Your payment method is not charged during the trial. If you do not cancel before the trial ends, your payment method is automatically charged the subscription fee (Section 5) and the subscription begins. We may modify, suspend, or end the trial program at any time; changes apply only to trials started after the change.

5. Subscriptions, Auto-Renewal, and Billing

Auto-renewal notice. Paid subscriptions to TextDictator are recurring and automatically renew at the end of each billing cycle until you cancel. By subscribing, you authorize us, through our payment processor, to charge your selected payment method on a recurring basis at the then-current subscription rate (currently $6.99 USD per month for Premium), plus applicable taxes, until you cancel. You can cancel at any time as described in Section 6.

Payments are processed by Stripe, Inc. We do not receive, store, or have access to your full payment card number; that information lives only with Stripe. By subscribing, you also agree to Stripe's terms and privacy policy as applicable to your payment.

Subscription fees are charged in advance for each billing period (currently monthly). If a payment fails, we may retry the charge and may suspend or terminate paid features until payment is received. You are responsible for keeping your payment method current.

6. Cancellation, Refunds, and Price Changes

Cancellation

You may cancel your subscription at any time through the Stripe- hosted billing portal, reachable from the app's Settings (“Manage Subscription”). Cancellation stops future renewals; you retain access to paid features through the end of the current paid period.

Refunds

Except where required by applicable law (including consumer- protection laws that grant a cooling-off period in certain jurisdictions), subscription fees are non-refundable and we do not provide pro-rated refunds for partial billing periods. If you believe you were charged in error, contact maxim@megatalk.com within 30 days of the charge and we will investigate and respond within 10 business days.

Price changes

We may change subscription prices. We will give you at least 30 days' notice before a price change applies to your subscription, sent to the email associated with your account. If you do not accept the new price, you may cancel before it takes effect.

EU / UK right of withdrawal

If you are a consumer in the European Economic Area or the United Kingdom, you have a statutory right to withdraw from a contract for the supply of digital services within 14 days of entering into it. However, by starting playback during this period, you expressly request and consent to the immediate performance of the Service, and you acknowledge that your right of withdrawal will lapse once the Service has been fully performed (i.e. once audio has been delivered).

7. Acceptable Use

You agree not to use the Service to:

  • Generate audio from content that is illegal, defamatory, harassing, threatening, hateful, fraudulent, or that infringes another person's intellectual-property, privacy, publicity, or other rights;
  • Impersonate any person or entity, or generate audio in a way that imitates the voice of a specific identifiable person without their authorization;
  • Use the Service to generate audio used in connection with fraud, deception, social-engineering attacks, deepfakes, or non-consensual intimate or sexual content;
  • Bypass, disable, or interfere with usage limits, anomaly caps, security features, rate-limiting, or other technical measures we use to maintain service quality and prevent abuse;
  • Reverse engineer, decompile, disassemble, or attempt to extract source code, API keys, prompts, model weights, or other proprietary materials of TextDictator or its providers (except to the extent applicable law expressly permits such activity notwithstanding contractual restrictions);
  • Copy, reproduce, modify, adapt, translate, duplicate, create derivative works from, distribute, publish, mirror, frame, or otherwise exploit any part of the Service, including the macOS app, website, source code, APIs, UI, design, documentation, name, logo, or branding, except as expressly permitted by these Terms;
  • Remove, obscure, or alter any copyright, trademark, attribution, or other proprietary notices included in the Service;
  • Use the Service to develop, train, or improve a competing text-to-speech product, speech-synthesis model, or dataset;
  • Use the Service to violate applicable laws or regulations, including export-control, sanctions, anti-spam, and consumer- protection laws;
  • Resell, sublicense, lease, or otherwise commercially exploit the Service except as expressly permitted by us in writing;
  • Use any automated means (bots, scrapers, scripts) to access the Service in a way that exceeds the rate or volume of normal individual use.

We may investigate suspected violations and take any action we consider appropriate, including suspending or terminating accounts and removing or blocking access. We may report violations to law enforcement when we believe doing so is appropriate.

8. Your Content and License Grant

“Your Content” means any text you submit to the Service for synthesis. You retain all rights, title, and interest in Your Content. You represent and warrant that you have all rights necessary to submit Your Content and that doing so does not violate these Terms, applicable law, or any third party's rights.

You grant us a limited, worldwide, non-exclusive, royalty-free license to transmit, process, and synthesize Your Content for the sole purpose of providing the Service to you, including by forwarding it to our TTS provider as needed to generate audio. This license ends when the request completes; we do not retain Your Content after the audio has been delivered (see the Privacy Policy for specifics).

9. Intellectual Property

TextDictator (including the macOS app, the website, source code, UI, design, name, logo, the “wave” mark, and all related branding and software) is owned by us or our licensors and is protected by copyright, trademark, and other intellectual- property laws. Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use the app on Apple-branded hardware that you own or control, and to access the website, for your personal, non-commercial use (or, if you are an organization, the internal business use of authorized employees and contractors).

Nothing in these Terms transfers any other intellectual-property rights to you. All rights not expressly granted are reserved.

10. AI Output

The audio produced by the Service is generated by third-party machine-learning models. AI-generated output may contain mispronunciations, omissions, hallucinations, or other errors and inaccuracies. The output is provided “as is” and is not a substitute for professional review where accuracy matters (including legal, financial, medical, safety-critical, educational, or commercial use). You are solely responsible for evaluating the output and for the consequences of relying on it.

We make no representation or warranty that the Service or its output is suitable for any particular purpose, including accessibility-related applications subject to ADA, Section 508, EN 301 549, or analogous standards.

11. Privacy

Our collection and use of personal information in connection with the Service is described in our Privacy Policy, which is incorporated by reference into these Terms. In particular: we do not retain the text you submit for synthesis after the audio has been delivered.

12. Third-Party Services

The Service depends on third-party providers, currently OpenAI and Deepgram (TTS), Stripe (billing), Neon (database and authentication), and Vercel (hosting and analytics). We are not responsible for outages, errors, data loss, or policy changes by those providers. Your use of any third-party surfaces reachable through the Service — such as the Stripe-hosted billing portal — is subject to those providers' own terms and privacy policies.

13. Beta and Experimental Features

We may from time to time make features available on a beta, preview, or experimental basis. Beta features are provided “ as is,” may be changed or removed at any time, may not work as intended, and are not subject to the standard service-level expectations of the production Service. The disclaimers and liability limits in Sections 14 and 15 apply to beta features with particular force.

14. Termination and Suspension

You may stop using the Service at any time. We may suspend or terminate your access to all or part of the Service, with or without notice, if: (a) you breach these Terms; (b) you fail to pay amounts when due; (c) we are required to do so by law; (d) we reasonably believe your use poses a security, legal, or reputational risk; or (e) we discontinue the Service or a material portion of it. On termination, your right to use the Service ends; the sections of these Terms that by their nature should survive (Sections 8–10, 14–18, and 21–24) will survive.

15. Disclaimers

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE EXCLUSIONS MAY NOT APPLY TO YOU.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL TEXTDICTATOR, ITS AFFILIATES, OR ITS LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), WARRANTY, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS AND THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) US $100.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE ABOVE MAY NOT APPLY TO YOU. NOTHING IN THESE TERMS LIMITS LIABILITY FOR GROSS NEGLIGENCE, WILLFUL MISCONDUCT, FRAUD, OR ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED BY LAW.

17. Indemnification

You agree to defend, indemnify, and hold harmless TextDictator, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Service; (b) Your Content; (c) your breach of these Terms; or (d) your violation of any law or any third party's rights. We may, at our option, assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.

18. Informal Dispute Resolution

Before filing a claim, you agree to try to resolve the dispute informally by sending a written notice describing the dispute and relief requested to maxim@megatalk.com. We'll do the same. We will both attempt in good faith to resolve the dispute within 60 days. If we cannot, either party may pursue the dispute in court.

19. Governing Law and Venue

These Terms and any dispute arising out of or relating to these Terms or the Service are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. To the extent permitted by applicable law, you and TextDictator consent to the exclusive jurisdiction and venue of the state and federal courts located in New York County, New York. Each party retains the right to seek injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual-property rights.

Nothing in this section limits any mandatory consumer rights you may have under the laws of your place of residence.

20. Export Controls and Sanctions

You may not use, export, re-export, or transfer the Service in violation of any applicable U.S. or non-U.S. export-control or sanctions laws. You represent that you are not located in, and are not a national of, any country or region subject to U.S. embargo, and that you are not listed on any U.S. government list of prohibited or restricted parties.

21. Force Majeure

We will not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, internet outages, third-party service outages, governmental action, or labor disputes.

22. Assignment and Notices

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without notice in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets. We may give you notices related to the Service by email to the address associated with your account, by posting on the website, or in the app.

23. Severability and No Waiver

If any provision of these Terms is held unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will continue in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later.

24. Entire Agreement

These Terms (together with the Privacy Policy and any policies referenced here) constitute the entire agreement between you and TextDictator regarding the Service, and supersede all prior or contemporaneous agreements on the subject.

25. Changes to These Terms

We may change these Terms from time to time. If we make material changes, we will notify you by email or in the app at least 30 days before the change takes effect (or such shorter period as required by law). Your continued use of the Service after the change takes effect constitutes your acceptance of the new Terms. If you do not agree, you must stop using the Service before the effective date.
